1 Your agreement with Bar Sherpa

These Terms govern your use of the Bar Sherpa app and related services. “Bar Sherpa”, “we” and “us” mean Bar Sherpa LLC, of [POSTAL ADDRESS AND COUNTRY]. Our contact is BarSherpa@proton.me.

By accepting these Terms in the app, or otherwise agreeing to them when they are presented, you enter into this agreement with us. If you do not agree, do not use the service. Our Privacy Policy explains how we handle personal data. Accepting these Terms does not give consent to optional data processing.

These Terms are intended for personal consumer use. Mandatory consumer and privacy rights always apply. They are not excluded by a disclaimer, a liability clause, the law chosen below or a third party’s terms.

2 Eligibility and supported use

You must be at least 18 years old and meet any higher legal drinking-age or service-access requirement applicable where you use Bar Sherpa. In the United States you must be at least 21. You must have capacity to enter into these Terms and give accurate eligibility information. Do not use the service where it or the relevant activity is prohibited.

Available features, languages, providers and paid products can differ by device and location. A translated interface or an app-store listing does not guarantee that every feature is available everywhere. We may limit features to comply with law or provider restrictions.

3 What the service does

Bar Sherpa provides nightlife discovery, venue information, maps and distance estimates, favorites, expeditions or bar-crawl plans, check-ins, passport stamps, badges and XP, profiles and social features, and optional Sherpa Assistant guidance. Free access may include advertisements. Paid access is described at purchase.

We provide information and software. We do not operate the venues, sell or serve alcohol, supervise an expedition, guarantee entry or safety, or provide a transport service through a Ride Home link. A booking, purchase or journey made with another provider is a separate arrangement with that provider.

Venue hours, prices, accessibility, admission rules, availability, routes and ratings can be wrong or out of date. Confirm important details directly with the venue or transport provider. A listing, ranking, badge or user review is not a guarantee or endorsement of conduct, suitability or safety.

Use your own account and protect access to your device and sign-in method. Give accurate information when required and notify us if you reasonably suspect unauthorized access. You are responsible for conduct you authorize; this clause does not make you automatically liable for activity caused by our failure to meet our legal obligations.

Some functionality may use a device-based profile, and some requires Sign in with Apple or another supported account flow. Local data may be lost if you remove the app, clear its data or change devices. Features that synchronize to an account depend on a supported sign-in and connection. Location, background location, notifications, camera and photo access are subject to separate permissions. You can change them in app or device settings. Denying an optional permission may prevent its associated feature from working; it is not a breach of these Terms. Smart Check-In suggestions require your confirmation before becoming a check-in through that flow.

6 Free access and paid products

The Free tier may display Google AdMob advertising. Paid features, usage limits, ad treatment, price, currency, billing interval and any offer conditions are shown before you buy. The confirmed purchase information forms part of the agreement. Do not rely on an old screenshot, advertised example price or an unofficial description of a plan.

Bar Sherpa Pro is available through Apple in-app purchase where offered. Apple bills the Apple Account used for purchase. RevenueCat helps us validate purchases and manage access. You must have the right to use the relevant Apple Account and payment method. We do not ask you to send payment-card details to our support address. [VERIFY WHETHER ANY WEB PAYMENT OFFER IS ACTIVE. Auto-renewing subscriptions. A monthly or annual product renews for its stated billing period unless canceled through Apple under the timing shown at purchase. Manage or cancel it in your device’s Apple Account subscription settings. Cancellation normally stops future renewals, with access continuing for the already-paid period subject to the purchase terms and applicable law. Trials or promotions, if offered, must show their length, eligibility and subsequent charge before acceptance. Do not assume a trial is free unless the offer expressly says so.

72-hour pass (currently called Weekend Warrior; [CONFIRM THE NAME SHOWN AT PURCHASE]). Where offered, this is a one-time, non-auto-renewing purchase. Its 72-hour access period begins at the purchase time, not when you first use it, and it is not limited to a calendar weekend. The verified purchase record determines access and can reflect an earlier expiry when a purchase is revoked or refunded. Restoring access. Use Restore Purchases where available and the Apple Account used to buy the product. Restoration depends on the applicable product and remaining entitlement. Refunds and consumer remedies. For Apple-billed purchases, request a refund through Apple at https://reportaproblem.apple.com/. Eligibility depends on Apple’s terms and applicable consumer law. Contact us for service problems. Nothing here removes any right to a refund, withdrawal, repair, replacement or other remedy required by law. Starting digital performance only affects a statutory withdrawal right where the required prior consent, acknowledgement and information have actually been obtained; accepting these Terms alone is not such a waiver.

Deleting your account or uninstalling the app does not itself cancel an Apple subscription. Review and cancel renewal separately if you no longer want it. We will not impose retroactive price changes. Apple’s rules and applicable law govern notice and consent for subscription price changes. 7 AI guidance

Sherpa Assistant generates responses using AI, including Google Gemini. Responses may be incomplete, incorrect, biased or unsuitable, and similar responses may be given to other users. Check hours, prices, routes, venue suitability and other important details yourself. Do not rely on an AI response to decide whether drinking, driving or another activity is safe or lawful.

Only submit information you have the right to use. Do not submit sensitive personal information, confidential material or another person’s private information. Our Privacy Policy and the in-app AI choice explain the data sent to the provider. AI availability, limits and features may differ by plan and location.

8 Your content and the permission we need

You retain any intellectual-property rights you have in your profile, photos, reviews, route names and other content you submit. You are responsible for having the permissions needed to submit and share that content and for choosing an appropriate audience.

You give us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format and display your submitted content only as reasonably needed to operate the features you use, show it to the audience explained for the relevant feature, deliver support, moderate the service and meet legal obligations. Review the Privacy Policy and in-app visibility information: some profile, milestone and expedition features have broader or automatic sharing, while a private Field Note is not a public post. We may let service providers exercise those rights solely to provide services for us. This is not a transfer of ownership and does not authorize unrelated advertising use of your content.

The license ends when the content is deleted from our systems, except for limited retention necessary for legal obligations, specific disputes, backup cycles described in the Privacy Policy, or copies you have chosen to share that other users are entitled to retain. These exceptions do not override your data-protection rights. If we want to use identifiable content in a separate marketing campaign, we will obtain the necessary permission.

Stamps, XP, badges and similar virtual achievements have no cash value, are not investments and are not transferable or redeemable for money unless a specific offer expressly says otherwise. We may correct erroneous or fraudulent awards fairly. They do not establish that a person visited safely, purchased alcohol or met a venue’s requirements.

9 Conduct and moderation

Do not use Bar Sherpa to harass, stalk, threaten, discriminate, impersonate, dox or exploit anyone; publish illegal or infringing content; reveal another person’s private location; send spam or deceptive invitations; or arrange unlawful or dangerous conduct. Do not manipulate location evidence, check-ins, purchases or awards, evade restrictions, interfere with security, introduce malware, or scrape or copy data in violation of law or applicable rights. This does not restrict lawful security research, interoperability or other rights that cannot be excluded by contract.

Use available reporting and blocking controls, or contact BarSherpa@proton.me, to report content or behavior. Identify the relevant content or account and explain the concern. Do not include unnecessary private information. For a rights complaint, provide enough information to identify the content and the rights concerned.

We use automated checks and may review reports, remove or restrict content, correct fraudulent activity, limit features, or suspend or end an account when reasonably necessary to enforce these Terms, protect people or security, comply with law or address serious misuse. We consider the seriousness, context and repetition of a breach. Where appropriate, we will explain the action and provide a way to ask for review at BarSherpa@proton.me; notice may be limited where law, safety or an investigation requires it. Automated image checks can cause posting restrictions or an account suspension, including cancellation of shared expeditions for severe results. Additional mandatory rights concerning illegal-content notices and appeals remain available where applicable.

10 Our intellectual property and third party services

The app, branding, software and our original materials are owned by us or our licensors. Subject to these Terms and any applicable app license, you may use the service for its intended personal purposes. Do not remove required notices or attribution, misrepresent ownership, resell access, or copy protected materials beyond what the law or applicable license allows. Open-source components remain subject to their own licenses.

Bar Sherpa includes Google Maps Platform and Places features and content. Use of those features and content is subject to the Google Terms of Service at https://policies.google.com/terms and Google Maps End User Additional Terms of Service at https://www.google.com/help/terms_maps/. Google’s Privacy Policy is at https://policies.google.com/privacy. Required Google and contributor attribution must remain visible.

External venue, mapping, transport, advertising and other services have their own terms and privacy practices. Review them when you use those services. We remain responsible for our own legal obligations and representations about our service.

For an app obtained through Apple, the applicable Apple usage rules and app license also apply. 11 Availability and changes

We aim to provide the service with reasonable care and skill. Interruptions can result from maintenance, connectivity, device limitations or provider outages. We cannot promise uninterrupted availability or that all information is accurate. These limitations do not exclude mandatory guarantees or remedies.

We may make reasonable changes to improve features, address security, comply with law or respond to provider changes. For a material adverse change to a paid service, we will provide the notice and cancellation or other remedies required by law and the purchase terms. We will not use this clause to avoid an obligation to supply what you paid for.

If we update these Terms, we will state the effective date and give appropriate notice of material changes. Changes will not apply retroactively to a dispute or transaction unless permitted by law and agreed where required. If a new agreement is needed, we will ask for it. Your right to stop using the service and any mandatory cancellation or refund right remains unaffected.

12 Ending use and our responsibility

You may stop using Bar Sherpa and request account deletion at any time. If we end or restrict access, we will do so for a reason described in these Terms or as required by law, using a proportionate response. Where reasonably practicable and appropriate, we will give notice and an opportunity to address the problem. Immediate action may be necessary for serious misconduct, legal requirements or an urgent safety or security risk.

Account closure does not erase obligations already incurred or automatically cancel a third-party subscription. Content and data are handled under the Privacy Policy, and applicable consumer remedies remain available.

We are responsible for loss or damage caused by our breach of these Terms or failure to use reasonable care and skill to the extent required by applicable law. We do not accept responsibility for a venue’s or another user’s independent acts merely because they appear in the app, but this does not excuse our own unlawful conduct or failure to meet a duty we owe you.

To the extent permitted by law, we are not liable for losses that were not reasonably foreseeable, or business losses arising from use of this consumer service. We do not exclude or limit liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, deliberate wrongdoing, liability under mandatory consumer or data-protection law, or any other liability that cannot lawfully be excluded or limited.

13 Disputes and general terms

Please contact BarSherpa@proton.me so we can try to resolve a concern. This does not require you to contact us before exercising a legal right or reporting to an authority.

These Terms do not impose mandatory arbitration or a class-action waiver.

If a provision is unenforceable, the remaining provisions continue to apply to the extent lawful. A delay in enforcing a right is not a waiver. We may transfer this agreement as part of a lawful business transfer only if doing so does not reduce your rights; we will provide notice where required. You may not transfer an account in a way that defeats security, eligibility or purchase rules, subject to rights required by law.
